Lanthanein Resources Ltd (ACN 095 684 389) (Company) has lodged a prospectus dated 4 July 2025 (Prospectus) with the Australian Securities and Investments Commission (ASIC) in respect of a pro-rata non-renounceable entitlement issue of three (3) fully paid ordinary shares in the capital of the Company (Shares) for every four (4) Shares held by eligible shareholders at an issue price of $0.001 per Share, together with one (1) free attaching Share for every three (3) Shares applied for and issued, to raise up to $2,107,636 (before costs) (based on the number of Shares on issue as at the date of the Prospectus) (Offer).

The Prospectus also contains secondary offers of up to 1,140,000,000 options (exercisable at $0.001125 each and expiring on the date that is four (4) years from the date of issue) (New Options) (Secondary Offers).

The Offer is fully underwritten by Inyati Capital Pty Ltd (ACN 642 351 193) (Underwriter) and partially sub-underwritten by Peter Pawlowitsch, a Director of the Company. The Prospectus is an important document which should be read in its entirety. Entitlement and Acceptance

Anyone who wants to take up their entitlement under the Offer will need to carefully consider the Prospectus and complete the personalised Entitlement and Acceptance Form attached to or accompanied by the Prospectus (Acceptance Form) or pay the application monies in accordance with the details set out in the Prospectus and the Acceptance Form. The Corporations Act 2001 (Cth) prohibits any person from passing onto another person an Acceptance Form unless it is attached to or accompanied by a complete and unaltered version of the Prospectus.

The Company reserves the right not to accept an Acceptance Form or payment of application monies from a person if it has reason to believe that when that person was given access to the electronic Acceptance Form, it was not provided together with the electronic version of the Prospectus and any relevant supplementary or replacement prospectus or any of those documents were incomplete or altered.

If an Acceptance Form is not completed correctly, or if the accompanying payment is the wrong amount, the Company may, in its discretion, still treat the Acceptance Form to be valid. The Company’s decision to treat an acceptance as valid, and how to construe, amend or complete the Acceptance Form, will be final.

Secondary Offers

The Secondary Offers are only being extended to selected parties as detailed in the Prospectus. Applications for New Options under each of the Secondary Offers must only be made by those selected parties using the application form to be provided by the Company and attached to or accompanying the Prospectus. An application form and instructions on how to apply for New Options under each of the Secondary Offers will only be provided to the selected parties in accordance with the terms of the Prospectus.
